Terms and Conditions

1. Introduction

Welcome to Zeavak (“Zeavak,” “we,” “our,” or “us”), a socio-financial and educational collaboration platform designed to enable people and institutions to connect socially, collaborate academically, and conduct secure financial transactions.

These Terms of Service (“Terms”) is a contract between you and Zeavak governing the use of your account and the services. By registering for or using Zeavak, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use our Services.

We may revise this user agreement and any of the policies listed above from time to time. The revised version will be effective at the time we post it, unless otherwise noted. If our changes reduce your rights or increase your responsibilities, we will provide notice to you of at least 21 days. We reserve the right to amend this agreement at any time without notice, subject to applicable law.

By continuing to use our services after any changes to this user agreement become effective, you agree to abide and be bound by those changes. If you do not agree with any changes to this user agreement, you may close your account.

2. Eligibility and Account Registration

Age Restrictions:

• You must be at least 16 years old to use Zeavak’s social and educational features.
• You must be at least 18 years old to use Zeavak’s financial services, including peer-to-peer transfers and tuition payments.
• If you are under 18, you may only make payments on Zeavak under the supervision and with the consent of a parent, guardian, or responsible adult.

Account Creation:

• To use the services, you will need to create a personal account. You may only have one personal account. To create a personal account, you must be at least 18 years old or the age of majority in your state of residence and use a cellular/wireless telephone number that you own.
• You must register with accurate and complete information.
• You are responsible for keeping your login credentials secure.
• You agree not to impersonate others or misrepresent your identity.
• To register, open, use, upgrade, or switch an Account, Zeavak may require that you submit certain information about yourself, including but not limited to your legal name, email address, text-enabled mobile phone number, street address, date of birth, a government issued form of identification, and any information you subsequently add or update (“Account Information”). You represent and warrant that all Account Information you provide us to register, open, use, or switch an Account is true and accurate, and you agree to keep all Account Information current.
• By creating an account or using our services, you accept and agree to be bound by these terms and represent that you have either reached the age of ‘majority’ where you live or your parent or legal guardian agrees to be bound by these terms on your behalf. If you do not know whether you have reached the age of majority where you live or do not understand this section, please ask your parent or legal guardian for help and ask them to read these terms with you.
• If you’re a parent or legal guardian and you allow your child (who must meet the minimum age for your country) to use the services, then you and the minor child accept and agree to be bound by these terms and are responsible for all use of the account or services, including your child’s activity on the services and purchases made by them, whether the minor’s account is now open or created later.
• You may close your account and terminate your relationship with us without cost, but you will remain liable for all obligations related to your account even after the account is closed. Any incomplete transactions or transfers must be completed or cancelled.

Institutional Accounts:

Institutions may register for official Zeavak accounts. Institutional users are subject to additional verification requirements.

3. Description of Services

Zeavak provides three primary categories of services:

1. Social Services – including posts, feeds, likes, comments, private and group chats, and voice/video calls.
2. Educational Collaboration Services – including surveys, polls, forms, analytics dashboards, and collaborative tools for students and institutions.
3. Financial & Payment Services – including peer-to-peer transfers, tuition and institutional fee payments, and other financial services subject to the Federal Reserve and commercial banking guidelines.

We may update or change the Services at any time. Some features may be restricted based on user eligibility, location, or regulatory requirements.

4. User Responsibilities and Code of Conduct

When you successfully register with us, you will be required to create an account on the Portal. When you create an account, you can choose your own preferred name, email address, and password as part of our security procedures. You acknowledge and agree that you are responsible for maintaining the confidentiality of such information, keeping it safe, and not disclosing it to any third party or allowing any third party to use your information to access our Portal. Zeavak is not responsible for any losses resulting from the loss or theft of your device or the loss or theft of your information transmitted from or stored on your devices.

For your own safety, Zeavak does not have access to your user log-in information. If you have forgotten any of your user log-in information or suspect that anyone other than you knows your user identification code or password, you must promptly change your log-in information by using our reset password functionality on the log-in page or by contacting us to lock your account and/or change your password. We have the right to disable or lock any user profile, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these Terms.

In addition to these Terms of Service, you agree to abide by all applicable laws and regulations in your use of the Portal and Services. In addition, you agree that you will not do any of the following:

• Register for an account on behalf of an individual other than yourself or on behalf of any group or entity.
• Post or make available content that infringes, violates rights, or otherwise violates the law.
• Post or make available content that is harmful, threatening, inflammatory, obscene, fraudulent, invasive of privacy, hateful, or otherwise objectionable.
• Post or make available any unsolicited or unauthorized advertising or promotional materials.
• Use information on our Portal to send unwanted messages to any other user.
• Impersonate any person or entity, or misrepresent yourself, your age, or your affiliation.
• Post personal or financial information of any third party.
• Solicit personal information from anyone under 18 or solicit passwords for unlawful purposes.
• Post or make available any material that contains software viruses or any code designed to interrupt or destroy functionality of the Portal or related systems.

In summary, you agree to:

• Use Zeavak only for lawful purposes.
• Comply with all applicable laws, including financial, data protection, and consumer protection regulations.
• Be respectful in your interactions with other users.

You cannot post any content that is:

• False, misleading, deceiving, inaccurate, or dishonest.
• Defamatory or invasive of another person's privacy or publicity rights.
• Harmful, obscene, harassing, abusive, offensive, objectionable, violent, or condoning violence, displaying nudity or sexual activity, or otherwise unfit for publication.
• Inciting hatred based on race, religion, nationality, disability, gender, age, or sexual orientation, or portraying animal cruelty.
• Illegal, such as criminal activity, terrorism, obscenity, child exploitation, gambling, drug use, firearms, or piracy.
• Infringing intellectual property or proprietary rights, or unauthorized use of content you did not create.
• Creating a privacy or security risk to any person.
• Spam, chain letters, or pyramid schemes.

You must not:

• Use Zeavak to harass, threaten, defame, or abuse others.
• Share or promote illegal, obscene, or harmful content.
• Engage in fraudulent, misleading, or deceptive activity.
• Attempt to hack, bypass, or disrupt the Services.
• Breach this user agreement between you and Zeavak.
• Violate any law, statute, ordinance, or regulation (for example, those governing financial services, consumer protections, or false advertising).
• Infringe our or any third party's copyright, patent, trademark, trade secret, or other intellectual property rights, or rights of privacy.
• Use your personal account to conduct transactions with other personal accounts except as expressly authorized by Zeavak.
• Create or control more than one personal account without authorization, such as using a false name or temporary contact information.
• Act in a manner that is defamatory, libelous, threatening, or harassing.
• Provide false, inaccurate, or misleading information.
• Send or receive what we reasonably believe to be potentially fraudulent money or payments for unauthorized purposes.
• Refuse to cooperate in an investigation or provide confirmation of your identity or any information you provide to us.
• Attempt to “double dip” during a dispute by receiving money from both Zeavak and another party for the same transaction.
• Control an account linked to another Zeavak account that has engaged in restricted activities.

Zeavak reserves the right to investigate and take appropriate action, including account suspension or termination, for violations of this section.

5. Content and Intellectual Property

User-Generated Content

• You retain ownership of content you create and post on Zeavak.
• By posting, you grant Zeavak a non-exclusive, royalty-free, worldwide licence to use, display, host, distribute, and adapt your content for the purpose of operating and improving the Services.
• The Services may include functionality for uploading or providing suggestions, recommendations, feedback, stories, photos, documents, logos, products, loyalty programs, promotions, advertisements, and other materials or information (“Content”).
• You grant us and our subsidiaries, affiliates, and successors a worldwide, non-exclusive, royalty-free, fully-paid, transferable, irrevocable, perpetual, and sub-licensable right to use, reproduce, modify, adapt, publish, prepare derivative works of, distribute, publicly perform, and publicly display your Content throughout the world in any media for any reason, including to provide, promote, and/or incorporate into the Services.
  You retain all rights in your Content, subject to the rights you granted to us in these Terms. You may modify or remove your Content via your Account or by terminating your Account, but your Content may persist in historical, archived, or cached copies and versions available on or through the Services.

Zeavak’s Intellectual Property

• Zeavak owns all rights in its trademarks, branding, logos, software, and proprietary technology.
• We appreciate the enthusiasm for Zeavak, but we must protect our brand identity, reputation, and the goodwill associated with our trademarks, logos, product designs, trade dress, user interfaces, and other assets. These assets may only be used with our permission.
  For example, only Zeavak (and its affiliated companies) and its authorized licensees may use the logo in advertising, promotional, and sales materials. Licensees may use our assets only as specified in their license agreements with us and under applicable guidelines.
• You may not copy, reverse-engineer, or exploit Zeavak’s intellectual property without written permission.

6. Payments, Transactions, and Fees

• You can link or unlink certain payment methods such as a debit card, credit card, or a bank account to your account. You can manage your account’s payment methods in the Payment Methods section of your account settings.
• Please keep your payment method information current (e.g., debit card number and expiration date).
• By linking a payment method to your Zeavak account, as described in the section Link or Unlink a Payment Method, you authorize us to charge such linked payment method for the payment amount and any applicable fees:
  • (a) Whenever you choose such linked payment method to send money or buy something using Zeavak.
  • (b) In connection with any errors, claims, or disputes.
  • (c) For amounts you owe to us.
• Users are responsible for ensuring transaction accuracy (e.g., correct recipient details).
• Zeavak may impose transaction limits or require additional verification.
• Certain features may carry service fees. Fees will be disclosed before you complete a transaction.
• Users under 18 must ensure that a parent, guardian, or responsible adult reviews and approves any payment activity.
• Zeavak reserves the right to request proof of such consent and may restrict access to financial services where proper supervision cannot be confirmed.

7. Refunds and Cancellations

Refunds are subject to our Cancellation & Refund Policy, which forms part of these Terms. Generally:

• Completed peer-to-peer transfers are final.
• Tuition and institutional payments may not be refunded once settled.
• Duplicate or erroneous transactions may be eligible for refund upon timely reporting.
• Payments may be invalidated and reversed by us if, among other reasons, we sent the payment in error, the funding transaction is declined or reversed, the payment was unauthorized or unfunded, or if the payment was for activities that violated this user agreement or any other agreement with us.

12. Disclaimer of Warranties

We work hard to offer great services, but we can’t guarantee any minimum levels of quality of services (which may also depend on factors beyond our control, such as the quality of your internet access and equipment).

TO THE FULLEST EXTENT PERMITTED BY LAW, ZEAVAK, ITS AFFILIATES AND THEIR RESPECTIVE SUPPLIERS MAKE NO WARRANTIES, EITHER EXPRESS OR IMPLIED, ABOUT THE SERVICES. THE SERVICES ARE PROVIDED ‘AS IS’. WE ALSO DISCLAIM ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

The laws of certain jurisdictions or states do not allow limitations on implied warranties. To the extent such warranties cannot be disclaimed under the laws of your jurisdiction, we limit the duration and remedies of such warranties to the full extent permissible under those laws.

13. Limitation of Liability

WE DON’T EXCLUDE OR LIMIT OUR LIABILITY TO YOU WHERE IT WOULD BE ILLEGAL TO DO SO. IN JURISDICTIONS WHERE THE BELOW TYPES OF EXCLUSIONS AREN’T ALLOWED, WE’RE RESPONSIBLE TO YOU ONLY FOR LOSSES AND DAMAGES THAT ARE A REASONABLY FORESEEABLE RESULT OF OUR FAILURE TO USE REASONABLE CARE AND SKILL OR OUR MATERIAL BREACH OF OUR CONTRACT WITH YOU. THIS PARAGRAPH DOESN’T AFFECT CONSUMER RIGHTS THAT CAN’T BE WAIVED OR LIMITED BY ANY CONTRACT OR AGREEMENT.

The information presented on or through the Services is made available solely for informational purposes. We do not confirm the accuracy, completeness, or usefulness of the information. Any reliance you place on such information is solely at your own risk.

NEITHER ZEAVAK, ITS AFFILIATES NOR OUR SUPPLIERS INVOLVED IN CREATING, PRODUCING OR DELIVERING THE SERVICES WILL BE LIABLE, TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, OR DAMAGES FOR LOST PROFITS, LOST REVENUES, LOST SAVINGS, LOST BUSINESS OPPORTUNITY, LOSS OF DATA OR GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE OR SYSTEM FAILURE, OR THE COST OF SUBSTITUTE SERVICES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT ZEAVAK OR ITS SUPPLIERS HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, EVEN IF A LIMITED REMEDY PROVIDED IN THESE TERMS IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

14. Indemnification

You will indemnify and hold Zeavak and its officers, directors, employees, and agents harmless from and against any claims, liabilities, damages, and costs (including reasonable legal and accounting fees) related to:

• (a) Your access to or use of our services or third-party services.
• (b) Your content.
• (c) Your violation of these Terms.
• (d) Your negligence or wilful misconduct.

15. Governing Law and Dispute Resolution

• You agree that, except to the extent inconsistent with or pre-empted by federal law and except as otherwise stated in this user agreement, the laws of Nigeria, without regard to principles of conflict of laws, will govern this user agreement and any claim or dispute that has arisen or may arise.
• You and Zeavak each agree that any and all disputes or claims that have arisen or may arise between you and Zeavak (including claims or disputes that arise out of or relate to the Zeavak services or your Zeavak account, including any linked Account), including without limitation federal and state statutory claims, common law claims, and those based in contract, tort, fraud, misrepresentation, or any other legal theory, shall be resolved exclusively through final and binding arbitration or in small claims court.
  You or Zeavak may assert claims in small claims court instead of in arbitration if the claims qualify and so long as the matter remains in small claims court and advances only on an individual (non-class, non-representative) basis.
  This Agreement to Arbitrate is intended to be broadly interpreted. The Federal Arbitration Act governs the interpretation and enforcement of this Agreement to Arbitrate.
• You and Zeavak agree that each of us may bring claims against the other only on an individual basis and not as a plaintiff or class member in any purported class or representative action or proceeding. Unless both you and Zeavak agree otherwise, the arbitrator may not consolidate or join more than one person's or party's claims and may not otherwise preside over any form of a consolidated, representative, or class proceeding.
  Also, the arbitrator may award relief (including monetary, injunctive, and declaratory relief) only in favor of the individual party seeking relief and only to the extent necessary to provide relief necessitated by that party's individual claim(s). Any relief awarded cannot affect other Zeavak users.

16. Amendments

We may update these Terms periodically. Material changes will be notified to users. Continued use constitutes acceptance.

17. Communication and Contact Information

By providing us your mobile phone number and opting in to receive text messages, you agree that we, including our affiliates, may contact you at that number using autodialled or prerecorded message calls or text messages to:

• (i) Service your branded accounts.
• (ii) Investigate or prevent fraud.
• (iii) Collect a debt.

We will not use autodialled or prerecorded message calls or texts to contact you for marketing purposes unless we receive your prior express written consent.

By providing us a mobile phone number for an under-16 account and opting in to receive text messages, you are indicating that you are the owner of that mobile number and you are agreeing that we, including our affiliates, may contact that number using autodialled or prerecorded message calls or text messages to service the Account. We will not use a user’s number for marketing purposes.

You do not have to agree to receive autodialled or prerecorded message calls or texts to your mobile phone number in order to use and enjoy the products and services offered by Zeavak. You can decline to receive autodialled or prerecorded message calls or texts to the mobile phone number by replying STOP to a message from the phone number you wish to be opted out from such messages.
